Step 1

Establish your presence in Ukraine

✔ LLC is the most common legal form for conducting business in Ukraine

✔ Find a local resident who will serve as a director for your IT company

✔ The nominee director will be sufficient as well

Required documents (founder — legal entity)

✔ Application on state registration establishing LLC

✔ Notarized and apostilled extract from the foreign commercial register of legal entities

✔ Notarized Power of Attorney to perform state registration of legal entity and all related activities

✔ Minutes of the Shareholders Meeting of LLC regarding establishing LLC

 LLC`s Charter

✔ The document certifying the payment of the administrative fee for state registration

✔ The minimum amount of the share capital is not stipulated for LLC’s in Ukraine

Required documents (founder — natural person)

✔ Notarized Power of Attorney to perform state registration of legal entity and all related activities

✔ Application on state registration the establishing LLC

✔ Copy of founder’s passport (translated and notarized)

✔ Minutes of the Shareholders Meeting of LLC regarding establishing LLC

✔ LLC`s Charter


Step 2

Work Permit

✔ Procuring a Work Permit takes about two (2) weeks

✔ The review by the Employment Centre takes seven (7) business days

✔ Work Permit can be issued for a maximum of one (1) year (with a possibility of prolongation)

Documents to be provided by the Company (Employer)

✔ Formal application signed by an authorized person on behalf of the company and certified by the common seal

✔ Draft of the contract, its copy should be signed and certified by the Director

✔ Power of Attorney issued by the company providing the right to represent the interests of the company at the Employment Centre

✔ After issuing the Work Permit, the employer should submit a copy of the contract confirming that the employee started working for the company

✔ A copy of such contract should be sent to the Employment Centre within ten (10) calendar days after signing of the contract, but no later than ninety (90) days after obtaining Work Permit.

✔ The company must also pay the procedural fee in the amount of 4 living wages (approx. 266 EUR) for other foreign nationals


Step 3

Temporary residence permit in Ukraine

✔ Standard application form

✔ Passport of a foreign national or other ID document

✔ Duly certified translation (into Ukrainian) of pages of the passport of a foreign national or ID document containing personal data

✔ Valid medical insurance policy (original and copy)

✔ Receipt confirming the payment of administrative service fees (the original shall be returned after showing, only the copy is submitted)

✔ 4 photographs of a foreign national 35 mm x 45 mm on matt paper

✔ Work permit

Procedure and fees

✔ Application form shall be submitted in person

✔ Shall be submitted to the territorial bodies/units of the State Migration Service of Ukraine or Centre of Providing Administrative Services

✔ State duty of 34 UAH (approx. 1 EUR)

✔ Administrative service fee of 517 UAH (approx. 16 EUR)

✔ Temporary residence permit is issued for one (1) year with the possibility of exchange

✔ Temporary residence permit shall be issued for the duration of the term indicated in the contract

Other issues to be considered

✔ No legal requirement for the employer to issue record book in case of the foreign employee

✔ For the avoidance of double taxation, the taxpayer or his duly representative shall request from the respective tax authority to receive a certificate of tax residence

✔ Such Certificate shall be issued to the taxpayer within ten (10) working days as of the date the request being made
